Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mezvic ("Mezvic," "we," "us," or "our"), governing your access to and use of all services, platforms, and content we provide.
These Terms apply to:
- All visitors to the Mezvic website at mezvic.com and any subdomains
- All clients who engage Mezvic for digital marketing services, AI automation services, or eCommerce management services
- Anyone who contacts Mezvic via any channel for a consultation, quote, or project inquiry
- Partners, white-label clients, and referral relationships
These Terms are to be read alongside our Privacy Policy and any specific engagement letters, proposals, or service agreements issued for your project. In the event of any conflict, the specific engagement agreement takes precedence.
Our Services
Mezvic provides professional business growth services across three core pillars. The specific scope, deliverables, timelines, and pricing for your engagement are defined in your individual proposal or service agreement.
Digital Marketing Services
Including but not limited to: custom web development, technical SEO, generative engine optimization (GEO), landing page development, social media marketing, content strategy, Google Ads management, Meta Ads management, and B2B digital marketing consulting.
AI Business Automation Services
Including but not limited to: Zapier, n8n, and Make.com workflow automation, GoHighLevel CRM setup and optimization, AI chatbot development, AI voice agent development, email automation, social media automation, and custom API integrations.
eCommerce Management Services
Including but not limited to: Amazon FBA management, Amazon PPC management, Shopify development and management, eBay account management, TikTok Shop management, Etsy SEO and management, Walmart marketplace management, WooCommerce development, and eCommerce PPC management.
Service Modifications: We reserve the right to modify, improve, or discontinue any service with reasonable notice. Where changes materially affect your active engagement, we will notify you at least 30 days in advance and discuss alternative arrangements.
Client Obligations
A successful partnership requires active collaboration. To enable Mezvic to deliver outstanding results, you agree to the following obligations:

- Grant necessary platform access in a timely manner
- Review and approve deliverables within agreed timelines
- Pay invoices by the stated due dates
- Designate a primary point of contact for communications
- Provide feedback constructively and within agreed windows
- Comply with all applicable laws in your jurisdiction
✗ You Must Not
- Provide false, misleading, or fraudulent information
- Use our services for illegal or unethical purposes
- Engage competing agencies without prior disclosure where exclusivity is agreed
- Withhold critical information that affects campaign performance
- Reverse engineer, copy, or resell our proprietary methodologies
- Make unauthorized changes to live campaigns or automation systems
Delays caused by failure to meet these obligations may result in timeline extensions and do not entitle you to refunds or service credits.
Payment & Fees
Invoicing & Payment Terms
All fees for Mezvic services are as outlined in your individual proposal or service agreement. Unless otherwise stated:
- Retainer services are invoiced monthly in advance, due within 7 days of invoice date
- Project-based work requires a 50% deposit before project commencement, with the balance due upon completion
- One-off or ad-hoc services are invoiced upon delivery and due within 7 days
- All prices are exclusive of applicable taxes (VAT, GST, etc.) unless expressly stated otherwise
- Payments are accepted via bank transfer, Stripe (credit/debit card), or other methods as agreed
Late Payments
Invoices not paid by the due date are subject to:
- A late payment fee of 2% per month on outstanding balances (or the maximum rate permitted by law, if lower)
- Suspension of active services after 14 days past due, without liability to Mezvic for any resulting impact on campaigns or results
- Recovery of all reasonable costs incurred in collecting overdue payments, including legal fees
Price Changes
We reserve the right to adjust our pricing with 30 days' written notice. Price changes do not apply to prepaid services or active fixed-term agreements until renewal.
Refund Policy
Due to the nature of professional services, fees for work already performed are non-refundable. Where we fail to deliver agreed services through our fault, we will offer service credits or remediation at our discretion. If you are unsatisfied, please contact us — we are committed to making it right.
Our Promise: We operate on month-to-month engagements with no long-term lock-in. If our services aren't delivering value, you can cancel with 30 days' notice. We stand behind our work.
Intellectual Property
Your Content & Assets
You retain full ownership of all content, brand assets, data, and materials you provide to Mezvic. You grant us a limited, non-exclusive licence to use these materials solely for the purpose of delivering your agreed services.
Deliverables & Final Work Product
Upon receipt of full payment, ownership of bespoke deliverables created specifically for your project (e.g., website code, custom automation workflows, ad creatives) transfers to you. This includes:
- Custom-built website designs and development code
- Bespoke automation workflows (n8n, Zapier, Make.com configurations)
- Ad copy, landing page copy, and content created exclusively for you
- Custom reports, dashboards, and strategy documents
Mezvic's Proprietary Assets
The following remain the exclusive intellectual property of Mezvic at all times, regardless of payment:
- Our proprietary methodologies, frameworks, and growth systems
- Template libraries, reusable code components, and automation blueprints
- Internal tools, SOPs, and operational processes
- The Mezvic brand, name, logo, and all associated trademarks
White-label clients: Special IP terms apply to white-label partnerships. Please refer to your specific white-label agreement. Unauthorised use or resale of Mezvic's proprietary methods is a material breach of these Terms.
Confidentiality
Both parties agree to treat as confidential any proprietary, sensitive, or non-public information received from the other party in connection with the engagement ("Confidential Information").
Confidential Information includes but is not limited to:
- Business strategies, financial data, and revenue figures
- Customer lists, pricing models, and supplier relationships
- Mezvic's internal methodologies, pricing structures, and operational processes
- Proprietary technology, automation blueprints, and system architectures
- Any information marked as confidential or that a reasonable person would understand to be confidential
Confidentiality obligations survive termination of the engagement for a period of three (3) years. Exceptions apply where information is publicly available, already known to the receiving party, or required to be disclosed by law.
Mezvic may reference your business name and results in anonymized case studies and marketing materials unless you expressly request otherwise in writing.
Warranties & Disclaimers
Mezvic's Warranties
Mezvic warrants that:
- We will deliver services with reasonable care, skill, and professionalism
- We have the right and authority to enter into service agreements with you
- Our services will not knowingly infringe the intellectual property rights of any third party
- We will comply with all applicable laws in the provision of our services
No Guarantee of Specific Results
Digital marketing, SEO, AI automation, and eCommerce performance depend on many factors outside our control, including search engine algorithm updates, market conditions, ad platform policy changes, third-party platform restrictions, and client action or inaction. Accordingly:
- We do not guarantee specific search rankings, traffic volumes, revenue figures, or ROI
- Historical results and case studies are illustrative and not a guarantee of future performance
- Third-party platform decisions (Google, Amazon, Meta, etc.) are outside our control and we accept no liability for their actions
- Results timelines are estimates based on typical engagement trajectories, not binding commitments
Disclaimer: All services are provided "as is" to the extent permitted by applicable law. We exclude all implied warranties, representations, and conditions not expressly stated in these Terms.
Limitation of Liability
To the fullest extent permitted by applicable law, Mezvic's total cumulative liability to you for any claim arising out of or in connection with these Terms or our services — whether in contract, tort, statute, or otherwise — shall not exceed the total fees paid by you to Mezvic in the three (3) months immediately preceding the event giving rise to the claim.
Exclusion of Consequential Damages
In no event shall Mezvic be liable for any:
- Loss of profits, revenue, or anticipated savings
- Loss of business, contracts, or goodwill
- Loss of data or corruption of data
- Indirect, incidental, special, or consequential damages of any kind
- Damages arising from third-party platform decisions, algorithm changes, or policy updates
- Business interruption losses, even if advised of the possibility of such damages
Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such cases, our liability is limited to the maximum extent permitted by applicable law in your jurisdiction.
Termination
Termination by Client
You may terminate your engagement with Mezvic by providing 30 days' written notice. Any fees due for work performed or committed resources during the notice period remain payable. Prepaid services are non-refundable unless Mezvic is at fault.
Termination by Mezvic
Mezvic may terminate your engagement immediately, without penalty, in the following circumstances:
- Non-payment of invoices beyond 30 days past due
- Material breach of these Terms that remains uncured after 14 days' written notice
- Discovery that you have engaged us under false pretences or provided materially false information
- Your business operating in violation of applicable laws
- Conduct that is abusive, threatening, or harassing toward our team
Effect of Termination
Upon termination, we will:
- Return all your account credentials, assets, and data within 14 business days
- Issue a final invoice for any outstanding work performed to the termination date
- Cease work on all active campaigns and automations
- Maintain confidentiality obligations as described in Section 6
Prohibited Use
You may not use Mezvic's services, website, or any deliverables for any purpose that is unlawful, harmful, or prohibited by these Terms. Specifically, you must not use our services to:
- Promote, facilitate, or engage in any illegal activity or fraud
- Distribute spam, malware, phishing content, or other harmful communications
- Infringe the intellectual property, privacy, or other rights of any third party
- Sell counterfeit, prohibited, or restricted products without proper licensing
- Violate any third-party platform terms of service, including Amazon, Google, Meta, or Shopify
- Engage in deceptive advertising, fake reviews, or other black-hat marketing tactics
- Attempt to reverse engineer, scrape, or extract Mezvic's proprietary systems or methodologies
- Resell or sublicense Mezvic's services without express written permission
- Harass, discriminate against, or harm any individual or group
Violation of this section constitutes a material breach and entitles Mezvic to terminate your engagement immediately and pursue all available legal remedies.
Dispute Resolution
Good Faith Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, both parties agree to first attempt resolution in good faith through direct negotiation. Either party may initiate this by providing written notice of the dispute with a clear description of the issue and proposed resolution.
Mediation
If direct negotiation fails to resolve the dispute within 30 days of the written notice, either party may request formal mediation before a mutually agreed neutral mediator. The costs of mediation shall be shared equally unless the mediator determines otherwise.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Subject to the dispute resolution process above, both parties submit to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings arising from these Terms.
International clients: We serve clients across the USA, UK, UAE, Australia, Europe, and beyond. While English law governs these Terms, we are committed to working collaboratively to resolve any issues before resorting to formal proceedings.
General Provisions
Entire Agreement
These Terms, together with your engagement letter, proposal, and our Privacy Policy, constitute the entire agreement between you and Mezvic with respect to the subject matter hereof, and supersede all prior agreements, representations, and understandings.
Amendments
We may update these Terms from time to time. Material changes will be notified to active clients with at least 30 days' notice via email. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Mezvic.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, government actions, pandemics, natural disasters, or third-party platform outages. The affected party shall notify the other promptly and the obligation shall be suspended for the duration of the force majeure event.
Assignment
You may not assign or transfer your rights or obligations under these Terms without Mezvic's prior written consent. Mezvic may assign these Terms in connection with a merger, acquisition, or sale of assets, with appropriate notice to you.
Independent Contractors
Mezvic operates as an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between the parties.
